Terms of Service

These Terms of Service ("Terms") are entered into between you (the enrolled brokerage) and ReAIState LLC, a Wyoming limited liability company with its principal address at 30 N Gould St, Ste R, Sheridan, WY 82801, USA ("ReAIstate", "we", "us", or "our"), and govern your use of reaistate.com and the ReAIstate compliance monitoring platform ("Service"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

ReAIstate provides compliance monitoring, violation detection, and evidence ledger services for residential real estate brokerages. The Service scans brokerage communications and listing content against a compliance rule engine covering fair housing law, advertising regulations, agency disclosure requirements, and other applicable real estate regulations across multiple US jurisdictions.

The Service provides monitoring, flagging, and documentation. It does not provide legal advice. Scan results and compliance flags are informational outputs intended to assist designated brokers in identifying potential compliance issues — they are not legal determinations. You should consult a licensed attorney for legal advice regarding your compliance obligations.

The Service is available to licensed real estate brokerages and their designated brokers operating in the United States. By using the Service, you represent that you are authorized to bind your brokerage to these Terms.

As a brokerage using the Service, you are responsible for:

— Ensuring you have appropriate authorization to submit agent communications for compliance scanning

— Reviewing and acting on compliance flags identified by the Service — the Service identifies potential violations; the designated broker makes compliance decisions

— Maintaining accurate brokerage and agent information in your account

— Keeping your login credentials secure

— Complying with all applicable laws and regulations governing your brokerage operations

The ReAIstate compliance engine scans content against a rule set covering 250+ rules across 13 US jurisdictions. This coverage is not exhaustive. The Service:

— Does not guarantee detection of all compliance violations

— Does not constitute legal advice or create an attorney-client relationship

— Does not replace the judgment of a licensed attorney or compliance professional

— May not reflect the most recent regulatory changes in every jurisdiction at all times

Use of the Service does not guarantee regulatory compliance or immunity from enforcement action. The evidence ledger produced by the Service may support your legal defensibility but does not guarantee any particular legal outcome.

By submitting communications and listing content to the Service, you grant ReAIstate a limited license to process that content solely for the purpose of providing the compliance scanning and evidence ledger service. We do not claim ownership of your content. Our data practices are described in the Privacy Policy at reaistate.com/privacy.

We treat all brokerage communications, scan results, and compliance data as confidential. We will not disclose your brokerage's compliance data to third parties except: (a) as required by law, (b) with your explicit written consent, or (c) to our service providers under confidentiality obligations as described in the Privacy Policy.

You may not use the Service to:

— Submit content that violates applicable law

— Attempt to reverse-engineer or extract the compliance rule engine

— Circumvent or disable any security features of the Service

— Use scan results to facilitate discrimination against any protected class

We aim to maintain high availability but do not guarantee uninterrupted access to the Service. We may perform maintenance, updates, or modifications that temporarily affect availability. We will provide notice of planned downtime where reasonably practicable.

To the maximum extent permitted by applicable law, ReAIState LLC is not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including any compliance decisions made in reliance on scan results. Our total liability for any claim arising from use of the Service is limited to the fees you paid for the Service in the three months preceding the claim.

The Service is provided "as is" without warranties of any kind, express or implied. We do not warrant that the Service will identify all compliance violations, that scan results are legally accurate, or that use of the Service will result in compliance with any particular regulation.

We may update these Terms from time to time. We will notify enrolled brokerages of material changes by email at least 30 days before they take effect. Continued use of the Service after the effective date of changes constitutes acceptance.

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws principles. ReAIState LLC is organized under the laws of the State of Wyoming. Any dispute arising under these Terms that is not resolved informally will be resolved through binding arbitration administered in accordance with the rules of a mutually agreed arbitration body, or in the state or federal courts located in Wyoming, and each party consents to the exclusive jurisdiction of such courts for that purpose.
